Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ARA referral management platform (the "Service"), operated by Alcyoneus LLC, 240 W. Willow St, Chicago, IL 60614 ("Alcyoneus," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent ("Customer," "you," or "your"). If you do not agree, do not use the Service.

1. The Service

ARA allows organizations to build custom referral intake forms, distribute them via web links, QR codes, and physical NFC cards, and manage incoming referral submissions ("Referral Data") through a dashboard, along with related account, organization, and billing management features.

2. Accounts and Organizations

You must provide accurate account information and are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You are responsible for the conduct of any team members you add to your organization. You must be legally able to enter a binding contract to use the Service.

3. Subscriptions and Billing

  • Paid subscriptions are billed on a recurring basis and processed through our payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method on file for all applicable fees.
  • Subscriptions renew automatically at the then-current rate unless cancelled before the next billing period. You may cancel at any time through your account or by contacting us; cancellation takes effect at the end of the current billing period.
  • Pricing for additional organizations under one account may be discounted per our then-current pricing structure, and referral-based discount coupons may apply where eligible, as described on our pricing page.
  • Except as required by law or as we otherwise state, fees are non-refundable, including for partial billing periods.
  • We may change our pricing prospectively with reasonable notice; continued use after a price change takes effect constitutes acceptance of the new pricing.

4. Physical Card Orders

Orders for physical NFC referral cards are fulfilled based on the shipping address you provide and are subject to separate charges, including applicable sales tax calculated at checkout. We are not responsible for delays caused by shipping carriers, incorrect address information you provide, or customs where applicable. Order status and tracking information, where available, will be reflected in your dashboard.

5. Referral Data and Ownership

As between you and Alcyoneus, you (the Customer) own and control the Referral Data submitted through forms you create, and you determine what fields to collect and from whom. Alcyoneus processes Referral Data solely to provide the Service to you and does not use it for any other purpose, including advertising. You are solely responsible for having a lawful basis to collect any information through your forms and for how you use, disclose, and retain Referral Data you access through the Service.

6. Health Information and HIPAA

ARA is commonly used by healthcare-adjacent organizations, and forms you configure may collect information about patients, including information that could constitute Protected Health Information ("PHI") under the Health Insurance Portability and Accountability Act ("HIPAA") or similar state health privacy laws. Customer, not Alcyoneus, is solely responsible for determining whether Customer's use of the Service involves PHI and for ensuring that use complies with HIPAA and any other applicable health privacy law. Alcyoneus does not act as a HIPAA Business Associate, and no Business Associate relationship is created by these Terms or by use of the Service, unless the parties have executed a separate, signed Business Associate Agreement ("BAA"). If your use of the Service will involve PHI, contact us at [email protected] before submitting any such data through the Service to discuss a BAA.

7. Acceptable Use

You agree not to use the Service to:

  • Collect information you do not have a lawful right or basis to collect, including from minors without appropriate consent;
  • Violate any applicable law, including health, consumer protection, or data privacy laws;
  • Transmit malicious code, attempt to gain unauthorized access to the Service, or interfere with its normal operation;
  • Misrepresent your identity or organization, or use the Service for any fraudulent purpose;
  • Resell or provide the Service to third parties as a standalone product without our written consent.

8. Suspension and Termination

We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a security, legal, or reputational risk to the Service or other users. You may stop using the Service and cancel your subscription at any time. Upon termination, provisions of these Terms that by their nature should survive (including Sections 5, 6, 9, 10, and 11) will continue to apply.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY REFERRAL DATA WILL BE ACCURATE OR COMPLETE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALCYONEUS LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO ALCYONEUS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Alcyoneus LLC and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of: (a) the content or collection of Referral Data through forms you configure, including any failure to comply with HIPAA or other applicable health privacy laws; (b) your violation of these Terms; or (c) your violation of any applicable law or the rights of a third party.

12. Changes to the Service and These Terms

We may modify or discontinue features of the Service, and may update these Terms from time to time. We will update the "Last updated" date above when we do, and for material changes we will make reasonable efforts to notify account holders. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Illinois, and you consent to personal jurisdiction there.
